The following Terms and Conditions (hereinafter referred to as the “Terms”) between you (referred to as “you”, “your”, or “Client”) and Dr. Michelle Marie Wealth Coaching LLC (referred to as “Dr. Michelle Marie”) describe the specifications on which you may register for, access, or use this website, https://www.drmichellemarie.com/ (the “Website”), including all information, tools, courses, programs, and services available to you, conditioned upon your acceptance of all of the Terms, conditions, policies, and notices stated herein. 

Dr. Michelle Marie is a certified Master Financial Coach providing online courses and financial coaching to those seeking one on one financial coaching, budget building courses, financial planning e-courses, or access to an online network of individuals encouraging and sharing good financial habits (together the “Service(s)”). By using the Website, you are engaging in her Services and agree to be bound by the following Terms.

2. By way of request from law enforcement or any other governmental agencies;
3. The discontinuance, alteration or material modification to her Services, or any part thereof;
4. Any engagement by you in any fraudulent or illegal activities; and/or
5. The non-payment of any associated fees that may be owed by you as a Client. 

Furthermore, you herein agree that any and all terminations, suspensions, discontinuances, and or limitations of access to the Website or Services shall be made in her sole discretion and that she shall not be liable to you or any other third-party with regard to the termination of your account, associated email address, and/or access to the Website or any of the Services. 

Dr. Michelle Marie reserves the right to refuse Services to anyone, for any reason, at any time at her own discretion. Dr. Michelle Marie also reserves the right, but does not have the obligation, to pre-screen, refuse and/or delete any content currently available through this Website. In addition, she reserves the right to remove and/or delete any such content that would violate these Terms or which would otherwise be considered offensive. 

You may choose to fill out a form on this Website if you wish to be contacted by Dr. Michelle Marie or otherwise receive the Services. You will be required to input your information, including but not limited to your name, address, email address (together your “Personal Information.”). 

You will provide true, accurate, and current Personal Information if you fill out any forms available on this Website. The Services may include an online forum, group online courses or seminars, or a social networking community. Your engagement with these forums and any Services (including but not limited to, interaction with other community members, advertisers, videos viewed) may be shared with others in accordance with the Privacy Policy and these Terms. 

2.    General Conditions of Use

Dr. Michelle Marie grants you a limited, worldwide, revocable, non-sublicensable, non-transferable, and non-exclusive license (“License”) to use the Services for your own private, personal, and non-commercial use, subject to certain rules and limitations as provided herein. The License includes the limited right to use any materials as described in Section 5, including any consulting, coaching, and course materials (together the “Licensed Material”), during the course of receiving Services.

By using the Services and accepting these Terms, you acknowledge and agree not to reproduce, export, publish, assign, duplicate, copy, sell, resell, lease, license, or exploit the Services, Licensed Materials, or information on this Website, or any portion thereof. Dr. Michelle Marie shall determine in her sole discretion if you are using any Licensed Material in violation of this clause or any of these Terms, and you agree that you may be subject to copyright violations, damages, or other legal proceedings. You acknowledge and agree that you will not use the Services or Licensed Material, or any part thereof, to create, market or sell a similar product or service in competition with Dr. Michelle Marie.

Dr. Michelle Marie reserves the right, but has no obligation, to modify, update, or discontinue her Services, or any content on the Website (or any part thereof), without notice at any time. Dr. Michelle Marie shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Services. 3.    Fees and Payments

Depending on the Services you select and purchase, Dr. Michelle Marie’s Services are available on either a flat-fee or hourly basis (together referred to as the “Fees”). All Fees are either listed on the Website or negotiated on a case-by-case basis and subject to Dr. Michelle Marie’s discretion. The Fees will be set out in any order confirmation, e-mail receipt, invoice, or other relevant correspondence. Dr. Michelle Marie accepts PayPal, Credit Card, Stripe, or any other approved electronic means (“Payment Method”). 

Any prices, discounts, and promotions available are subject to change without notice. There may be a promotion, discount, or sale on the Website provided to certain individuals (“Promotions”). These Promotions may affect the pricing and may be governed by terms and conditions separate from these Terms. If there is a conflict between the terms and conditions for a promotion and these Terms, the terms and conditions specific to that promotion will govern that specific circumstance. 

Dr. Michelle Marie strives to display accurate price information, however, there may, on occasion, be inadvertent typographical errors, inaccuracies, or omissions related to pricing and availability. Dr. Michelle Marie reserves the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

If you do not pay the amounts owed when they are due, or your payment method continuously fails, Dr. Michelle Marie may initiate collection procedures. You agree to pay the cost of collection, including, without limitation to, reasonable attorney’s fees. 

4.    Refunds and Disputes

Dr. Michelle Marie only offers refunds in limited circumstances subject to her sole discretion. If you're unhappy with the services please contact her immediately and she will do her best to rectify the situation. 

Nothing in these Terms extends a binding obligation on Dr. Michelle Marie to offer refunds. Should Dr. Michelle Marie, in her sole discretion, decide to refund or credit you any amounts paid, that refund or credit shall constitute the entire, sole, and exclusive liability, and your sole and exclusive remedy, with respect to that Service.

5.    Intellectual Property & Proprietary Rights

As a part of the Services, Dr. Michelle Marie may provide you with copyrighted materials, outlines, concepts, pre-recorded videos, guided workbooks or worksheets and other relevant information, (the “Materials”). By using the Website and agreeing to these Terms, you acknowledge and agree that all Materials are protected by copyright, trade secret, or other proprietary and intellectual property laws. You understand and agree that this Section provides for the protection of the Materials and any other relevant content provided to you and extends beyond federal, state, local or foreign copyright laws or treaties and that by using the Website. You agree to be bound by the Terms herein, even where such Terms extend beyond such laws. You are confirming that in the event you attempt to reuse, reproduce, remarket, sell, or create a competitive or derivative product or service for sale from the Materials, or otherwise use the Materials for any similarly unauthorized personal financial gain, you may be subject to legal proceedings.

MICHELLE MARIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. 

THE SOLE AND ENTIRE MAXIMUM LIABILITY, FOR ANY REASON, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER SHALL BE LIMITED TO THE ACTUAL AMOUNT YOU PAID FOR THE SERVICES THROUGH THE WEBSITE.

Dr. Michelle Marie is a Master Financial Coach certified through Ramsey Solutions. As a certified Master Financial Coach, Dr. Michelle Marie has been trained to assess your specific financial situation, provide personalized financial guidance, and create a plan to assist you in managing your finances and achieving your financial goals. The Website, and any free information available on it, is presented as an educational resource and should not be construed as a substitute for individualized professional financial coaching or investment advice.

The limitation of liability set forth above shall: (a) only apply to the extent permitted by law; and (b) not apply to: (i) liability resulting from gross negligence or willful misconduct, or (ii) death or bodily injury resulting from acts or omissions.

7.     Non-Disparagement

You agree not to make or communicate to any person or entity, in any media or a public forum, including any social media network, any comments or statements (written or oral) that intentionally or unintentionally, or is reasonably certain to, disparage, create a negative impression of, or is detrimental to the reputation of Dr. Michelle Marie or the Services associated therewith. 

8.    Dispute Resolution

If a controversy or claim should arise, the parties will first attempt in good faith to resolve such controversy or claim. Dr. Michelle Marie will contact you via phone or email to discuss the matter and attempt to resolve any such controversy or claim by negotiation. If the matter has not been resolved within thirty (30) days by negotiation, the parties will attempt in good faith to resolve the controversy or claim in accordance with mediation, with mutually agreeable rules. If the matter has not been resolved by mediation within sixty (60) days of the commencement of mediation, or if either party will not participate in mediation, then the controversy shall be settled by binding arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules and supplementary procedures for consumer-related disputes of the American Arbitration Association (the “AAA”), excluding rules or procedures governing or permitting class actions. The written decision of the arbitrator shall be binding and conclusive on the parties. The parties agree that there shall be no pre-arbitration discovery and the arbitrator shall not award punitive damages to either of the parties. Judgment may be entered in any court having jurisdiction.

Dr. Michelle Marie may provide any notice to you under these Terms by: (a) sending a message to an email address that you provide; or (b) by posting to this Website. Notices sent by email will be effective on the date the email is sent, and notices that are posted on this Website will be effective upon posting. It is your responsibility to keep your e-mail address current and review any new Notices on this Website.

To provide Notice under these Terms, you must contact by: email; personal delivery; overnight courier; or certified mail. Notice by email shall be effective on the date the email is sent. Notice provided by personal delivery shall be effective immediately. Notice provided by overnight courier shall be effective one business day after it is sent. Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action against Dr. Michelle Marie arising out of or related to the use of this Website or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

These Terms and the Privacy Policy will be deemed the final and integrated agreement between you and Dr. Michelle Marie on the matters contained herein.
